These terms apply to merchants and visitors who use VendoPad, a business management application for Nigerian vendors, shop owners, artisans and car dealers.
A. Acceptance
By creating an account or using VendoPad, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the service.
B. Eligibility and your account
- You must provide accurate account and business information.
- You are responsible for protecting your password and your Google sign-in access.
- You are responsible for activity carried out under your account.
- Merchant accounts may require verification and approval before full access is granted.
C. Merchant responsibilities
- Accuracy of the business information you enter
- Operating your business lawfully
- The customer information you record and how you obtained it
- The receipts and invoices you generate and share
- Your own tax, accounting and record-keeping obligations
- Any information you publish in the public Directory
VendoPad is a software platform. Providing the software does not make VendoPad your accountant, lawyer, tax adviser or business partner.
D. Your business data
Your products, vehicles, sales, customers, debts, payments, expenses and reports remain your business records, and you remain responsible for their accuracy. VendoPad does not claim ownership of your customers’ personal data simply because you enter it into the app; we process it to provide the service to you.
E. Public Directory
- You control whether your business is publicly listed, using the Directory visibility setting.
- Public listing information must be accurate and must not be misleading.
- VendoPad may moderate, suspend, unlist or remove listings in line with the platform rules.
- The Directory is a discovery and contact feature only.
- VendoPad does not guarantee the transactions, quality, legality, availability, pricing or performance of listed businesses.
F. AI assistant
- The AI assistant is optional and read-only; it does not change your records.
- AI output is informational and may be inaccurate or incomplete.
- You remain responsible for any decision you make based on AI output.
- AI output is not professional accounting, legal, tax or financial advice.
- AI availability, models and limits may change.
G. Plans, payments and subscriptions
- VendoPad currently operates with plan tiers that control certain feature limits, such as how many products a merchant can hold.
- Online subscription payment processing is not currently active in the application. Plan pricing shown on the website is indicative and subject to change before launch.
- Paid subscription and payment functionality may be introduced later. When it is, the applicable terms and prices will be presented before you are charged.
H. Receipts and invoices
VendoPad provides tools to generate receipts, vehicle invoices, printable documents and WhatsApp share links. You remain responsible for legal compliance, tax requirements, the correctness of the document contents, and your communication with your customers.
I. Prohibited use
- Unlawful activity of any kind
- Fraud or misrepresentation
- Abuse or harassment of other users
- Impersonating another person or business
- Unauthorised access to other merchants' data
- Attempts to bypass security, authentication or access controls
- Malicious activity, including malware, scraping abuse or service disruption
- Misuse of the Directory, including fake or spam listings
- Uploading harmful, infringing or illegal content
J. Intellectual property
The VendoPad software, branding, user interface and documentation belong to VendoPad and its licensors. You may not copy, resell or reverse engineer them. You keep your own business content; you grant VendoPad only the permissions needed to host, process and display that content in order to operate the service for you.
K. Suspension and termination
VendoPad may suspend or terminate an account for violations of these Terms, fraud, security threats, abuse, or where required by law. You may stop using the service at any time, and you can contact us about closing your account.
L. Availability
We do not promise uninterrupted service. VendoPad may be affected by maintenance, outages, third-party provider failures, or temporary unavailability of individual features.
M. Disclaimers
VendoPad provides business management tools and does not guarantee any particular business outcome, profit figure or result. Reports, analytics and insights are generated from the data you enter and should be reviewed before being relied upon.
